Merger & Acquisitions Manager (m/f/d) Pharma

YOUR CONTRIBUTION

As M&A Manager (m/f/d) you take a key role by supporting the full range of deal-making activities including search & valuation, due diligence, negotiation, and transaction execution. Your detailed tasks are the following:

•    Planning, organization and execution of a variety of transactions including M&A and strategic partnerships 

•    Cross-functional coordination of all project participants including target companies, internal departments as well as external consultants (M&A consultants, auditors, lawyers)

•    Preparation and management of contract negotiations: Partner with legal colleagues and supporting departments (Finance, IP, Tax) to draft the term sheet, support negotiation while coordinating the preparation of the transaction agreements (LOI, merger agreement, APA, SPA) 

•    Support deal valuation incl. financial modeling: produce several valuation models of the target company, prepare investment case incl company valuation and present decision paper to internal committees 

•    Scout and identify potential acquisition targets in line with Merz Therapeutic’s search profile

•    Use your network and establish contacts to investment banks and brokers to ensure early visibility and access to emerging deal opportunities

•    Contribute to the continued development of the corporate development strategy

•    Contribute to general department reporting, such as monthly reports, project documentations

YOUR PROFILE

•    BS degree in economics, business administration a/o sciences required; advanced degree (MBA, PhD, MS) preferred

•    Several years of professional experience in Corporate Development in pharma/biotech sector or top tier consultancy

•    Relevant working experience in the execution of M&A transactions (due diligence, valuation, project management, SPA negotiation) 

•    Experience with financial accounting/balancing and profound knowledge in business valuation and modelling of business cases, strong forecasting, and financial modeling capability
•    Strong analytical thinking skills as well as strong communication and organizational skills

•    Team player with structured working habits, can-do mentality and global mindset with appreciation for different cultures and market
